MERCHANT AGREEMENT

1. Scope
This Merchant Agreement ("Agreement") governs the use of the Yours platform by merchants to accept USDC payments via QR code and NFC technology. Yours acts solely as a non-custodial technology provider and does not participate in, guarantee, or intermediate any transaction between merchant and customer.
2. Merchant Eligibility
To use Yours as a merchant, you must:
- Be a UK-registered legal entity (company, LLP, or sole trader)
- Have a valid Companies House registration number
- Comply with all applicable UK laws and regulations
- Provide accurate business information during registration
3. Merchant Obligations
Merchant agrees to:
- Comply with UK consumer protection laws, including the Consumer Rights Act 2015
- Clearly display pricing, refund policies, and terms of sale to customers
- Deliver goods or services as advertised
- Handle all customer disputes and complaints directly
- Maintain accurate records of transactions for tax purposes
- Display appropriate signage indicating acceptance of crypto payments
- Not engage in any prohibited activities as defined in the Terms of Service
4. NFC Tag Responsibilities
4.1 Merchants are solely responsible for:
- Setting up and maintaining NFC tags at their premises
- Ensuring NFC tags contain the correct and current wallet address
- The physical security and integrity of all NFC tags
- Regularly checking that NFC tags have not been tampered with or replaced
4.2 Yours is not liable for:
- NFC tags that have been tampered with, replaced, damaged, or removed
- Payments made to incorrect wallet addresses due to compromised NFC tags
- Customer losses resulting from NFC tag fraud at merchant premises
5. Payments & Settlement
5.1 Payments are executed directly on the Solana blockchain from customer wallets to merchant wallets.
5.2 Yours:
- Does not hold, process, or intermediate merchant funds
- Does not guarantee transaction confirmation or timing
- Does not provide fiat settlement or banking services
- Provides transaction display and notification tools only
6. Refunds & Disputes
6.1 All blockchain transactions are final and irreversible.
6.2 Refunds must be initiated manually by the merchant as a new blockchain transaction.
6.3 Yours is not a party to any merchant-customer dispute and bears no responsibility for resolving such disputes.
7. Fees
Merchant agrees to pay applicable platform fees as disclosed separately. During the launch period, platform fees are waived. Any future fee changes will be communicated at least 30 days in advance.
8. Data Processing
Where the merchant processes customer personal data in connection with Yours:
- Merchant acts as an independent data controller for its own customer data
- Merchant must comply with UK GDPR and the Data Protection Act 2018
- Merchant must maintain its own privacy policy
9. Intellectual Property
All intellectual property rights in the Yours platform remain with ATZERO SALES, MARKETING & TECHNOLOGY LIMITED. Merchant may not use Yours branding, logos, or trademarks without prior written consent, except for displaying "Powered by Yours" or "Yours Accepted Here" signage at the point of sale.
10. Compliance
Merchant confirms that:
- It does not engage in activities prohibited by UK law
- It complies with UK sanctions, anti-money laundering (AML), and counter-terrorism financing (CTF) laws
- It will cooperate with Yours in any compliance investigation or regulatory inquiry
11. Liability & Indemnity
11.1 Merchant indemnifies and holds harmless Yours against all claims, losses, and expenses arising from:
- Merchant's goods, services, or business practices
- Merchant's breach of this Agreement
- Merchant's failure to comply with applicable laws
- NFC tag compromise at merchant premises
11.2 Yours' total aggregate liability to the merchant shall not exceed the fees paid by the merchant in the twelve (12) months preceding the claim.
12. Service Availability
Yours aims to maintain high platform availability but does not guarantee uninterrupted service. Planned maintenance will be communicated in advance where possible.
13. Termination
13.1 Either party may terminate this Agreement with 30 days' written notice to the other party.
13.2 Yours may terminate immediately and without notice in cases of:
- Breach of this Agreement or the Terms of Service
- Suspected illegal or fraudulent activity
- Regulatory or legal requirement
- Risk to platform security or reputation
13.3 Upon termination, merchant retains access to their wallet and funds via their recovery phrase.
14. Governing Law
This Agreement is governed by and construed in accordance with the laws of England and Wales. The courts of England and Wales shall have exclusive jurisdiction.
