Merchant Agreement
1. Scope
This Agreement governs the use of Yours by merchants to accept USDC payments via QR code and NFC technology. Yours acts solely as a non-custodial technology provider.
2. Merchant Obligations
Merchant agrees to:
- Be a UK-registered legal entity
- Comply with UK consumer protection laws
- Clearly disclose pricing and refund policies
- Deliver goods or services as advertised
- Handle customer disputes directly
3. Payments & Settlement
Payments are executed directly on-chain from customer wallets to merchant wallets. Yours:
- Does not hold merchant funds
- Does not guarantee transaction confirmation
- Does not provide settlement or reconciliation services beyond interface tools
4. Refunds & Disputes
Blockchain transactions are irreversible. Refunds must be processed manually by the merchant via a new transaction. Yours is not a party to merchant-customer disputes.
5. Fees
Merchant agrees to pay applicable platform fees as disclosed separately.
6. Compliance
Merchant confirms it does not engage in prohibited activities and complies with UK sanctions and AML laws.
7. Liability & Indemnity
Merchant indemnifies Yours against claims arising from merchant goods, services, or regulatory breaches. Yours' liability is limited to fees paid in the prior 12 months.
8. Termination
Either party may terminate with 30 days' written notice. Immediate termination may occur for breach or legal risk.
9. Governing Law
England and Wales.
