Terms of Service

1. Introduction

These Terms of Service ("Terms") govern your access to and use of the Yours platform ("Yours", "the Platform", "we", "us", "our"), a non-custodial blockchain payment interface enabling users and merchants to transact using USDC via QR code and NFC technology. By accessing or using Yours, you agree to be bound by these Terms in full.

2. Nature of the Service

Yours is a technology platform only.

Yours provides:

• User and merchant payment interfaces
• QR code generation and scanning
• NFC tag writing and reading capabilities
• Web-based payment pages for NFC transactions
• Blockchain payment interaction tools
• Real-time GBP/USDC conversion display

Yours does not:

• Hold or custody digital assets
• Control or access your private keys or seed phrases
• Operate internal balances or pooled wallets
• Act as a bank, payment institution, or money transmitter
• Provide fiat currency services or conversion
• Reverse, cancel, or modify blockchain transactions
• Guarantee transaction confirmation or settlement times

All transactions occur directly on the Solana blockchain between wallets fully controlled by their respective owners.

3. Non-Custodial Acknowledgement

You acknowledge and agree that:

• You retain sole and exclusive control of your wallet and private keys
• Yours never has access to your private keys, seed phrases, or wallet credentials
• Your 12-word recovery phrase is encrypted and stored locally on your device only
• Transactions are final and irreversible once broadcast to the blockchain
• Loss of your private keys or recovery phrase will result in permanent and irrecoverable loss of funds
• You are solely responsible for safeguarding your recovery phrase and device access

4. Eligibility

To use Yours, you must:

• Be at least 18 years of age
• Have the legal capacity to enter into a binding contract
• Comply with all applicable laws of England and Wales and your local jurisdiction
• Not be a person or entity subject to economic sanctions

Merchants must additionally be UK-registered legal entities.

5. Fees and Charges

5.1 Platform Fees

During the current launch period, Yours is available free of charge to all users. We reserve the right to introduce paid subscription tiers in the future. Users will be notified at least 30 days in advance of any pricing changes.

5.2 Network Fees

During the launch period, Yours sponsors Solana blockchain network fees (gasless transactions). This sponsorship may be modified or discontinued with prior notice. Standard blockchain network fees may apply in the future and will be clearly disclosed before any transaction.

5.3 No Hidden Fees

We will never charge fees without clear, prior disclosure and your explicit consent.

6. Free Launch Period

The Yours platform is currently available free of charge during the initial launch period. Yours reserves the right to introduce paid subscription tiers (including a "Pro" plan) in the future. Users will be notified in advance of any pricing changes and will have the option to continue using the free tier or upgrade. No charges will be applied without your explicit consent.

7. NFC Payments

7.1 NFC Tag Setup

Merchants may write their wallet address to NFC tags using the Yours app. Each NFC tag contains a unique web payment URL linked to the merchant's wallet address.

7.2 NFC Tag Responsibility

Merchants are solely responsible for the physical security and integrity of NFC tags placed at their premises. Yours is not liable for NFC tags that have been tampered with, replaced, damaged, or otherwise compromised.

7.3 Web Payment Pages

When a customer taps an NFC tag, a web payment page opens in their browser displaying the merchant's wallet address and QR code. This page is informational only and does not process transactions directly.

7.4 Customer Verification

Customers should always verify the merchant identity and wallet address before initiating any payment.

8. Prohibited Use

You may not use Yours for:

• Any illegal activities under the laws of England and Wales or any applicable jurisdiction
• Money laundering, terrorist financing, or proliferation financing
• Sanctions evasion or transactions involving sanctioned persons or entities
• Fraud, deception, or misrepresentation
• Market manipulation or insider dealing
• Distribution of malware or conducting cyberattacks

We reserve the right to restrict or terminate access immediately and without notice for compliance reasons or suspected prohibited use.

9. Intellectual Property

All intellectual property rights in the Yours platform, including but not limited to software, design, branding, logos, and documentation, are owned by ATZERO SALES, MARKETING & TECHNOLOGY LIMITED. You may not reproduce, distribute, modify, or create derivative works without our prior written consent.

10. Regulatory Status

Yours does not provide regulated payment services under UK law. We are not authorised or regulated by the Financial Conduct Authority (FCA).

Cryptoassets are not covered by:

• The Financial Services Compensation Scheme (FSCS)
• The Financial Ombudsman Service

The regulatory treatment of cryptoassets may change. Future regulatory developments may affect the availability or features of the Platform.

11. Limitation of Liability

To the maximum extent permitted by applicable law, Yours shall not be liable for:

• Loss of digital assets or funds
• Wallet compromise or unauthorised access to your device
• Blockchain network delays, failures, or congestion
• Smart contract vulnerabilities or exploits
• NFC tag tampering or physical compromise
• Third-party service outages (including Solana network)
• Indirect, incidental, special, or consequential losses
• Loss of profits, business, data, or goodwill

Our total aggregate liability shall not exceed the fees actually paid by you to Yours in the twelve (12) months preceding the claim.

Nothing in these Terms excludes or limits liability for death or personal injury caused by negligence, fraud, or any other liability that cannot be excluded by law.

12. Force Majeure

Yours shall not be liable for any failure or delay in performance caused by circumstances beyond our reasonable control, including but not limited to: natural disasters, pandemics, power outages, internet disruptions, blockchain network failures, acts of government, cyberattacks, or third-party service provider failures.

13. Changes to These Terms

We may update these Terms from time to time. Material changes will be communicated via email or in-app notification at least 14 days before taking effect. Your continued use of the Platform after the effective date constitutes acceptance of the updated Terms. If you do not agree, you must discontinue use of the Platform.

14. Termination

14.1 We may suspend or terminate your access to the Platform immediately if required by law, court order, or regulatory authority, or for breach of these Terms.

14.2 Upon suspension or termination, you retain access to your wallet and funds via your recovery phrase. Yours does not hold or control your assets.

14.3 Where legally permissible, we will notify you of suspension reasons.

15. Dispute Resolution

Any dispute arising from these Terms shall first be attempted to be resolved through good faith negotiation. If unresolved within 30 days, disputes shall be referred to the exclusive jurisdiction of the courts of England and Wales.

16. Governing Law

These Terms are governed by and construed in accordance with the laws of England and Wales. The courts of England and Wales shall have exclusive jurisdiction.
